1) Acceptance of Terms

By accessing or using ZoopEvents (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2) Eligibility

You must be able to form a binding contract and comply with applicable laws. If you use the Service on behalf of an organization, you represent you have authority to bind that organization.

3) The Service

ZoopEvents provides tools to list, discover, embed, and distribute event information, including via widgets, calendars, feeds, and social publishing features.

We may modify, suspend, or discontinue any part of the Service at any time.

4) Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

5) Event Eligibility: Virtual Events must be tied to a physical Location

It can just be the city if the entity has no public physical address, but it must be tied to a local area. Zoop is about local.

6) User Content and License

“User Content” includes event titles, descriptions, images, logos, links, venue details, and any other materials you submit.

You retain ownership of your User Content, but you grant ZoopEvents a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (for formatting), publish, display, distribute, and promote your User Content as needed to operate and market the Service.

You represent you have all necessary rights to submit the User Content and that it does not infringe third-party rights.

7) Content Standards and Prohibited Uses

You agree not to post content that is illegal, fraudulent, deceptive, unsafe, hateful, harassing, discriminatory, or spammy.

  • Impersonate another person or organization
  • Misrepresent event details
  • Upload malware or attempt to disrupt the Service
  • Scrape, reverse engineer, or abuse rate limits in ways that harm the Service

8) Moderation, Refusal, and Removal

ZoopEvents may review, refuse, edit, restrict, unpublish, or remove any event listing or content at any time, with or without notice, for any reason.

We are not obligated to publish or keep any content available.

9) Third-Party Services and Links

The Service may include links to third-party sites and integrate with third-party platforms. We do not control third-party services and are not responsible for their content, policies, availability, or actions.

10) Social Publishing Features

If you connect a social account or page, you authorize ZoopEvents to publish content on your behalf to selected destinations. You are responsible for ensuring you have permission to post there.

ZoopEvents is not responsible for third-party platform enforcement, post removals, throttling, or account restrictions.

11) Event Accuracy, Changes, and Cancellations

Organizers are responsible for the accuracy and timeliness of event listings and for promptly updating cancellations or changes.

ZoopEvents does not guarantee listing accuracy and is not responsible for losses resulting from errors, changes, cancellations, venue policies, or ticketing disputes.

12) Intellectual Property

ZoopEvents and Digifli LLC trademarks, logos, and the Service design and code are owned by Digifli LLC or licensors and are protected by applicable laws.

13) Feedback

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

14) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOOPEVENTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGIFLI LLC AND ZOOPEVENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) $100 OR (B) THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS BEFORE THE CLAIM.

16) Indemnification

You agree to indemnify and hold harmless Digifli LLC and ZoopEvents from claims arising out of your use of the Service, your User Content, your event listings, or your violation of these Terms or applicable law.

17) Termination

We may suspend or terminate your account or access to the Service at any time. You may stop using the Service at any time.

18) Governing Law and Venue

These Terms are governed by the laws of the State of California. Any dispute will be brought in state or federal courts located in California.

19) Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted with an updated effective date.
